Terms of Service
These terms govern your use of the Diwan One platform, a white-label enterprise resource planning (ERP) system licensed to subscribing organizations. By using the platform, or by signing a service agreement that references these terms, you agree to them. If you use the platform on behalf of an organization, you confirm you are authorized to bind it to these terms.
1. The service
Diwan One is a software product deployed per client, under the client's own brand and in an isolated database dedicated to that client. We provide the software, updates, and the agreed support, while each client's data stays within their own infrastructure or their dedicated hosted project, separate from every other client.
2. Deployment and data location
The platform is deployed on the infrastructure the client chooses: their own servers or a dedicated, isolated database project. We do not pool client operational data in a shared store, and we do not move it between clients. The client is the controller of their data and alone holds the right to access and export it.
3. User accounts and access
The client's administrator manages user accounts, roles, and permissions inside the platform. You are responsible for keeping credentials confidential and for all activity under your organization's accounts. The system records every field-level change in a permanent audit trail.
4. Client responsibilities
- Configuring entities, users, and enabled modules for your organization.
- The accuracy of the data you enter and compliance with the laws that apply to you.
- Running the agreed backup and restore procedures for your infrastructure.
- Lawful use of the platform, without attempting to breach or misuse it.
5. Intellectual property
The platform, its software and source, and the Diwan One brand remain the property of the provider. The organization is granted a non-exclusive, non-transferable license to use it for the term of the agreement. The data the organization enters remains entirely its own.
6. Availability and support
We make reasonable efforts to keep the platform available and maintained, and we provide support at the service level set in your agreement. Updates or maintenance may require scheduled downtime, announced in advance where possible.
7. Fees
Subscription and service fees are set in a separate agreement between you and the provider. This page contains no pricing.
8. Disclaimer of warranties and limitation of liability
The platform is provided on an as-is and as-available basis. To the extent permitted by applicable law, the provider is not liable for indirect or consequential damages, or for data loss arising from factors outside its control, including the client-managed infrastructure the client operates themselves.
9. Term and termination
These terms apply for the term of your agreement. On termination, the client retains the right to export their own data before access is suspended, as set out in the service agreement.
10. Changes to these terms
We may update these terms from time to time. A change takes effect on the date it is published on this page, and clients are notified of material changes through the agreed channels.
11. Governing law
The interpretation of these terms is subject to the governing law and jurisdiction agreed in the service agreement between the parties.
